Order of precedence. If you have signed an enterprise order form or master agreement with us, it prevails over these Terms; these Terms prevail over the policies referenced in them where they conflict. Please also read our Privacy Policy, Cookie Notice, and Cancellation & Refund Policy, which are incorporated by reference.
1. Definitions
“Services” — the BluePrint platform, websites, applications, APIs and related support.
“Customer Content” — the material you submit (requirements, documents, code, prompts, files) and the artefacts the Services generate from it.
“Users” — the individuals you authorise to use the Services under your account (employees, contractors, team members).
2. The Services & accounts
The Services are provided for business use by users aged 18 or over. You are responsible for your account, for keeping credentials secure, for all activity under your account, and for your Users’ compliance with these Terms. You must provide accurate information and keep it current.
3. Subscriptions, fees, renewal & taxes
Paid plans are billed per seat, monthly or annually, in advance. Annual plans are offered at a discount to twelve months of the monthly price.
Auto-renewal (please note). Subscriptions renew automatically for successive terms of the same length unless cancelled before the current term ends. You authorise us (and our payment providers) to charge the applicable fees on each renewal, at the then-current price, until you cancel. You may cancel at any time as described in the Cancellation & Refund Policy.
Fees are exclusive of taxes unless stated; you are responsible for applicable taxes other than taxes on our income. Where a payment provider acts as Merchant of Record, tax may be handled by that provider.
Cancellations and refunds are governed by our Cancellation & Refund Policy. Non-payment may lead to suspension or termination under Section 11.
4. Customer Content & ownership
As between you and BluePrint, you own your Customer Content and the artefacts the Services generate from it. You grant us a worldwide, non-exclusive, royalty-free licence to host, process, transmit and display Customer Content solely to provide and support the Services and as you instruct. You are responsible for your Customer Content, for having the rights to submit it, and for ensuring it is lawful and does not infringe others’ rights.
5. AI-generated output
Important — AI output requires human review. The Services use AI agents to generate artefacts. AI output can be inaccurate, incomplete, biased or unsuitable and may reflect limitations of the underlying models. BluePrint is a governance layer designed to keep a human accountable at each phase: you are responsible for reviewing, validating and approving all artefacts before relying on them or moving them downstream. We do not warrant that any generated artefact is accurate, error-free or fit for a particular purpose, and you must not treat AI output as professional (legal, security, financial, medical or compliance) advice.
6. Acceptable use
You must not, and must not permit any User or third party to: (a) use the Services unlawfully or to infringe, misappropriate or violate any right; (b) upload malware or unlawful, harmful, infringing or objectionable content; (c) attempt to breach security, probe or circumvent access controls, or access another tenant’s data; (d) reverse-engineer, decompile or copy the Services except as permitted by law; (e) resell, sublicense or provide the Services to third parties except as expressly permitted; (f) use the Services, or their output, to build a competing product or model, or to scrape or harvest data; or (g) impose an unreasonable or disproportionate load on our systems or AI/compute. We may suspend activity that violates this Section.
7. Third-party services, BYO model & cloud
You may connect third-party services — your own AI model or API key (BYOLLM), cloud accounts (BYOC), code hosts, security or messaging tools. Those services are governed by their own terms, and you are responsible for your use of them and for any keys or credentials you provide. We are not responsible or liable for third-party services, and their availability or changes may affect the Services.
8. Intellectual property
BluePrint and its licensors own the Services, software and all related intellectual property; no rights are granted to you except the limited right to use the Services during your subscription. You retain rights in your Customer Content and artefacts (Section 4). If you give us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free licence to use them to improve the Services, without obligation to you.
9. Confidentiality & data protection
Each party will protect the other’s confidential information and use it only for the purposes of these Terms. Our handling of personal data is described in the Privacy Policy; where we process personal data within Customer Content on your behalf, our Data Processing Agreement (available to business customers on request) applies and you are the controller. We maintain reasonable technical and organisational security measures, including tenant isolation and encryption.
10. Warranties & disclaimers
Except as expressly stated in these Terms or a signed order form, the Services are provided “as is” and “as available”, and to the maximum extent permitted by law we disclaim all warranties, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Services or any AI output will be uninterrupted, timely, secure, accurate or error-free. Nothing in these Terms excludes or limits any warranty or right that cannot be excluded or limited under applicable law.
11. Term, suspension & termination
These Terms apply while you use the Services. You may stop using and cancel in accordance with the Cancellation & Refund Policy.
We may suspend or terminate your access for non-payment, breach of these Terms, or misuse that risks harm to the Services, other customers or third parties, with notice where practicable (and immediately where necessary to prevent harm or as required by law).
On termination your right to use the Services ends; we will make Customer Content available for export for 30 days, after which it may be deleted in accordance with the Privacy Policy and any DPA. Accrued rights, and clauses that by their nature survive (including Sections 4, 8, 10, 12, 13, 14), survive termination.
12. Limitation of liability
To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, goodwill or data; and (b) each party’s total aggregate liability arising out of or relating to the Services and these Terms is limited to the fees you paid or payable in the three (3) months before the event giving rise to the claim. These limits do not apply to liability that cannot be limited by law (for example, death or personal injury caused by negligence, fraud, or a party’s wilful misconduct). If you are a consumer, nothing in these Terms affects your mandatory statutory rights.
13. Indemnification
You will defend, indemnify and hold BluePrint harmless from third-party claims arising out of your Customer Content, your use of the Services in breach of these Terms, or your use of connected third-party services, except to the extent caused by our breach.
14. Governing law & disputes
These Terms are governed by the laws of India, without regard to conflict-of-laws rules, and the courts at Chennai, Tamil Nadu have jurisdiction, subject to any mandatory consumer-protection law of your country of residence that gives you the right to bring proceedings locally.
15. Export controls & sanctions
You represent that you and your Users are not subject to sanctions or located in an embargoed region that would make your use of the Services unlawful, and you will comply with applicable export-control and sanctions laws.
16. Changes to the Services or Terms
We may modify the Services or these Terms; for material changes we will give reasonable notice by email or in-app before they take effect. Continued use after the effective date means you accept the changes. If you do not agree, you may stop using and cancel the Services.
17. General
These Terms, with any order form and the referenced policies, are the entire agreement between the parties. If a provision is held unenforceable, the remainder stays in effect. Neither party may assign without the other’s consent, except to an affiliate or in connection with a merger or sale of assets. Neither party is liable for delay or failure caused by events beyond its reasonable control (force majeure). Notices are given as set out here or in your account.
